Enterprise Terms and Conditions

These Enterprise Terms and Conditions ("Enterprise Terms") govern the access to and use of the Prextige platform by businesses, companies, agencies, and legal entities operating commercial rental fleets or offering items at scale. These Enterprise Terms supplement — and must be read together with — the standard Terms and Conditions. In the event of a conflict, these Enterprise Terms prevail with respect to Enterprise Accounts.

By registering an Enterprise Account or using the platform as a legal entity, you represent that you have the legal authority to bind your organization to these Enterprise Terms.

1. Definitions

  • Enterprise Account: A Prextige account registered by a legal entity — including corporations, simplified stock companies (S.A.S.), partnerships, agencies, or other business structures — for the purpose of listing and managing multiple items or fleets at a commercial scale.
  • Enterprise Owner: The legal entity that holds the Enterprise Account and is ultimately responsible for all activity conducted under it.
  • Authorized Users: Natural persons authorized by the Enterprise Owner to access and operate the Enterprise Account on its behalf, including employees, agents, and contractors.
  • Fleet: A collection of items or products listed and managed collectively under a single Enterprise Account, such as a fleet of vehicles, a catalog of luxury goods, or an inventory of specialized equipment.
  • Commercial Rental Activity: The systematic, ongoing offering of items for rent as part of an enterprise's core or supplemental business operations, as opposed to occasional peer-to-peer listings by individuals.
  • API Access: Programmatic access to Prextige's platform via application programming interfaces, enabling Enterprise Owners to integrate Prextige functionality into their own systems or workflows.
  • Enterprise Agreement: A separately negotiated written agreement between Prextige and an Enterprise Owner that may supersede or modify specific provisions of these Enterprise Terms, including pricing, commission rates, and support levels.

2. Eligibility and Enterprise Account Registration

To register an Enterprise Account, the applicant must be a legally constituted entity with valid registration in Colombia or another jurisdiction recognized by Prextige. The following requirements apply:

  • Provide a valid tax identification number issued by the relevant authority in your jurisdiction.
  • Provide the legal name, registered address, and commercial activity of the entity.
  • Designate at least one Legal Representative who is authorized to bind the entity to contractual obligations and whose identity has been verified.
  • Provide a corporate bank account for the receipt of rental proceeds.
  • Accept these Enterprise Terms and the standard Terms and Conditions on behalf of the entity.
  • Consent to the processing of corporate and personal data (of Authorized Users) in accordance with Law 1581 of 2012 and Decree 1377 of 2013.

Prextige reserves the right to request additional documentation — including chamber of commerce certificates, corporate governance documents, or proof of ownership of listed items — at any stage of the registration or review process. Incomplete or inaccurate applications may be rejected or suspended without notice.

3. Authorized Users and Account Management

The Enterprise Owner may designate Authorized Users to operate the Enterprise Account. The Enterprise Owner is solely responsible for:

  • Maintaining an accurate and current list of Authorized Users.
  • Revoking access promptly when an Authorized User's authorization ends (e.g., upon termination of employment or contract).
  • All actions taken by Authorized Users under the Enterprise Account, including listings created, bookings accepted, and communications sent.
  • Ensuring that Authorized Users comply with these Enterprise Terms, the standard Terms and Conditions, and all applicable laws.

Prextige may impose limits on the number of Authorized Users permitted under a single Enterprise Account. These limits will be communicated at the time of account setup or via a separately negotiated Enterprise Agreement.

4. Fleet Listings and Inventory Management

Enterprise Owners may list multiple items simultaneously under their Enterprise Account. The following obligations apply to all fleet listings:

  • Each listed item must be accurately described, including its condition, category, photographs, rental price, availability calendar, and any specific conditions or restrictions for its use.
  • Enterprise Owners are responsible for keeping all listings current and removing or suspending items that are no longer available, under maintenance, or have been decommissioned from the fleet.
  • Items must be in good working condition at the time of rental. Listing an item known to be defective, incomplete, or unsafe constitutes a material breach of these Enterprise Terms.
  • Enterprise Owners may not list items that are subject to active financing arrangements, liens, or third-party ownership claims without the express written authorization of all relevant parties.
  • All items must comply with applicable Colombian regulations for their category, including any mandatory registration, inspection, or insurance requirements (e.g., vehicle SOAT and technical inspections for automotive fleets).

Prextige reserves the right to conduct periodic reviews of Enterprise listings and may request supporting documentation at any time. Listings found to be non-compliant may be suspended without prior notice.

5. Commercial Commission and Pricing

5.1 Standard Commission

Unless otherwise agreed in a separately executed Enterprise Agreement, Enterprise Owners are subject to the standard commission of 15% of the rental subtotal per completed booking, as established in Section 8 of the standard Terms and Conditions.

5.2 Volume Pricing and Negotiated Rates

Enterprise Owners operating at scale — including automotive rental companies, equipment rental businesses, and multi-category fleet operators — may be eligible for volume-based commission adjustments, subject to a separately negotiated Enterprise Agreement. Eligibility, rates, and applicable thresholds are determined at Prextige's sole discretion based on fleet size, transaction volume, and category.

To inquire about volume pricing, Enterprise Owners must contact Prextige at prextige.executives@gmail.com with relevant information about their fleet and projected monthly transaction volume.

5.3 Price Setting

Enterprise Owners retain full discretion to set rental prices per item. Dynamic pricing, seasonal rates, and promotional discounts may be applied at the Enterprise Owner's discretion, provided they are accurately reflected in the listing at the time of customer booking. Retroactive price modifications to confirmed bookings are not permitted.

6. Enterprise Billing and Invoicing

Enterprise Owners will receive consolidated transaction records for all bookings completed under their account during each billing period. These records include rental amounts, applicable commissions, security deposits collected and released, and any deductions.

Electronic invoices issued by or on behalf of Enterprise Owners must comply with Colombian electronic invoicing regulations under DIAN Resolution 000042 of 2020 and its subsequent updates. Enterprise Owners are responsible for ensuring that their own invoicing practices (when issuing invoices directly to customers) comply with all applicable tax and billing regulations.

Prextige will disburse net rental proceeds to the Enterprise Owner's registered corporate bank account within 10 business days of the completion of each rental period, subject to any holds arising from open disputes or security deposit reviews.

Enterprise Owners may request monthly statements of account activity by contacting support. Billing discrepancies must be reported within 10 business days of the relevant transaction.

7. API Access and Platform Integrations

Prextige may make API access available to Enterprise Owners to facilitate integration with their own inventory management, booking, or CRM systems. API access is subject to availability, technical review, and the terms set forth in a separately executed API addendum or Enterprise Agreement.

Enterprise Owners granted API access must:

  • Use API credentials solely for the purposes authorized by Prextige and not share them with unauthorized third parties.
  • Comply with all rate limits, data handling requirements, and technical specifications provided by Prextige.
  • Not use the API to scrape, harvest, or extract data beyond what is necessary for the authorized integration use case.
  • Notify Prextige immediately of any suspected unauthorized access to or misuse of their API credentials.

Prextige reserves the right to suspend or revoke API access at any time, with or without notice, in the event of misuse, excessive load, or breach of these terms. Prextige is not liable for any losses arising from API downtime, rate limiting, or service interruptions.

8. Regulatory Compliance for Commercial Operators

Enterprise Owners operating as commercial rental businesses are solely responsible for obtaining and maintaining all licenses, permits, registrations, and authorizations required to conduct their business under Colombian law, including but not limited to:

  • Vehicle rental operators: SOAT insurance, vehicle technical-mechanical inspection (revisión técnico-mecánica), and any municipal operating permits required for commercial vehicle rental.
  • Equipment rental operators: Any sector-specific safety certifications, maintenance records, or import/export documentation applicable to the categories offered.
  • All Enterprise Owners: Registration with the Colombian Chamber of Commerce, compliance with DIAN tax obligations (including VAT where applicable), and compliance with Superintendencia de Industria y Comercio (SIC) consumer protection regulations under Law 1480 of 2011.

Prextige does not verify, guarantee, or assume responsibility for an Enterprise Owner's compliance with sector-specific regulations. Enterprise Owners indemnify and hold harmless Prextige for any claim, fine, or sanction arising from the Enterprise Owner's failure to comply with applicable law.

9. Insurance

Enterprise Owners are strongly encouraged to maintain appropriate commercial insurance coverage for their fleet and business operations, including general liability insurance and, where applicable, property damage or product liability coverage. For vehicle fleets, minimum mandatory insurance (SOAT) is required by law and is the Enterprise Owner's responsibility.

Prextige does not provide insurance coverage to Enterprise Owners or their customers, and the security deposit mechanism described in the standard Terms and Conditions is not a substitute for insurance. Prextige is not liable for any loss, damage, or liability that exceeds the collected security deposit or that arises from the Enterprise Owner's insufficient insurance coverage.

Prextige reserves the right to require proof of valid insurance as a condition of Enterprise Account approval or continued operation, particularly for high-value or high-risk item categories.

10. Security Deposits for Enterprise Listings

Enterprise Owners may configure security deposit amounts per listing or per category, within the parameters permitted by the platform. For high-value items — such as vehicles, premium electronics, or luxury goods — Prextige may recommend minimum deposit thresholds and reserves the right to enforce them.

Security deposit disputes involving Enterprise listings follow the Resolution Center process established in Section 16 of the standard Terms and Conditions, with Prextige acting as neutral intermediary. Enterprise Owners must submit dispute claims — including photographic or documentary evidence of damage — within 48 hours of the end of the rental period.

For Enterprise Owners with high dispute rates, Prextige reserves the right to require mandatory security deposits across all their listings, modify deposit amounts, or suspend the ability to list certain item categories.

11. Data Processing and Confidentiality

11.1 Personal Data of Authorized Users

Enterprise Owners who provide personal data of Authorized Users to Prextige (e.g., during account setup) represent that they have obtained all necessary consents and legal bases required under Law 1581 of 2012 for such processing. Prextige will process Authorized User data solely as necessary to operate and secure the Enterprise Account.

11.2 Customer Data

Enterprise Owners may access limited customer data (name, contact information, booking details) solely for the purpose of fulfilling confirmed bookings. Enterprise Owners must not use customer data for marketing, third-party sharing, or any purpose beyond fulfillment without the customer's express consent. Unauthorized use of customer data constitutes a material breach of these Enterprise Terms and may result in immediate account suspension.

11.3 Confidentiality

Both parties agree to treat as confidential any non-public commercial information disclosed in the context of an Enterprise Agreement or account relationship, including pricing terms, commission rates, and API credentials. This obligation survives the termination of the Enterprise Account.

12. Enterprise Support

Enterprise Owners have access to priority support via email at prextige.executives@gmail.com. Enterprise inquiries related to active bookings, fleet management, billing discrepancies, or account administration are processed within 1–3 business days, excluding Colombian public holidays.

Issues involving platform errors that directly affect active commercial operations will be treated as high priority and escalated accordingly. Enterprise Owners must provide sufficient context — including the booking IDs, listing IDs, and a description of the issue — to enable timely resolution.

Enterprise Owners with a separately negotiated Enterprise Agreement may be entitled to dedicated account management or enhanced support terms as specified therein.

13. Prohibited Conduct

In addition to the prohibitions in the standard Terms and Conditions, Enterprise Owners must not:

  • Create multiple Enterprise Accounts to circumvent platform rules, commission structures, or sanctions.
  • Use the platform to list items on behalf of third parties without written authorization from both Prextige and the item owner.
  • Manipulate pricing, availability, or listing information to mislead customers or gain an unfair competitive advantage.
  • Engage in anti-competitive practices, including coordinated pricing with other Enterprise Owners or attempts to exclude competing listings.
  • Use or disclose Prextige's proprietary data, algorithms, or platform information for competitive intelligence purposes.
  • Misrepresent the commercial or legal nature of the enterprise to obtain more favorable terms or account privileges.

Violations of this section may result in immediate suspension of all Enterprise listings, forfeiture of pending proceeds, account termination, and legal action where applicable.

14. Sanctions, Suspension, and Termination

Prextige may, at its sole discretion and without prior notice, suspend or terminate an Enterprise Account upon:

  • Material breach of these Enterprise Terms or the standard Terms and Conditions.
  • Repeated customer complaints, high dispute rates, or sustained negative ratings affecting platform trust.
  • Failure to maintain required regulatory licenses, permits, or insurance for listed items.
  • Evidence of fraudulent listings, misrepresentation, or deceptive practices toward customers or Prextige.
  • Court order, regulatory directive, or other legal obligation requiring suspension or termination.

Upon termination, all active listings will be deactivated, pending bookings will be processed to completion (to protect already-confirmed customers), and any net proceeds owed — after deduction of commissions, disputes, and applicable penalties — will be disbursed within 30 business days.

Enterprise Owners may voluntarily terminate their account by submitting a written request to prextige.executives@gmail.com. Voluntary termination does not release the Enterprise Owner from obligations arising from bookings confirmed prior to termination.

15. Liability and Indemnification

The liability limitations set forth in Section 14 of the standard Terms and Conditions apply in full to Enterprise Accounts. Additionally:

Enterprise Owners agree to defend, indemnify, and hold harmless Prextige and Anuvyx S.A.S. from and against any claim, liability, fine, regulatory sanction, or expense (including legal fees) arising from: (i) the Enterprise Owner's failure to comply with applicable laws and regulations governing its commercial rental activity; (ii) misrepresentation of item condition, availability, or ownership; (iii) data protection violations related to Authorized User or customer data; or (iv) actions taken by Authorized Users under the Enterprise Account.

Prextige's total aggregate liability to an Enterprise Owner under these Enterprise Terms shall not exceed the total net proceeds paid to that Enterprise Owner in the three-month period immediately preceding the event giving rise to the claim.

16. Governing Law and Jurisdiction

These Enterprise Terms are governed by the laws of Colombia, including but not limited to the Commercial Code, Law 1480 of 2011, Law 1581 of 2012, Law 527 of 1999, and applicable tax regulations.

Any dispute arising from or relating to these Enterprise Terms that cannot be resolved through good-faith negotiation between the parties shall be submitted to the exclusive jurisdiction of the courts and tribunals of Bogotá, Colombia. Both parties expressly waive any other jurisdiction.

For Enterprise Owners incorporated outside Colombia, these Enterprise Terms still apply in full to all activities conducted on the Prextige platform. International Enterprise Owners are responsible for ensuring their operations comply with both Colombian law and their local jurisdiction.

17. Modifications

Prextige reserves the right to modify these Enterprise Terms at any time. Material changes will be communicated to Enterprise Owners via email with a minimum of 15 calendar days notice prior to the effective date — a longer notice period than applies to the standard Terms and Conditions, given the commercial nature of the relationship.

Continued operation of the Enterprise Account after the effective date of any modification constitutes acceptance of the updated Enterprise Terms. If an Enterprise Owner does not agree with the modifications, they must notify Prextige before the effective date and may terminate their account without penalty for the change itself, subject to completion of any outstanding booking obligations.
